المصارف تُعيد إحياء تسوية انتخابات جمعيتها: مجلس الإدارة إلى 14 عضواً برئاسة صفير

يبدو أن عدوى التفاهم والتسويات تمدّدت إلى جمعية مصارف لبنان، فبردت حدّة التناقضات بين أعضائها، وفعلت حكمة “المتنافسين” فيها فعلها؛ فحماوة المنافسة، وتصعيد الشروط سابقاً، أدّيا إلى تطيير النصاب في جلسة الجمعية العمومية غير العادية، التي كانت مقررة في 8 كانون الثاني 2025. وتالياً، طارت تسوية كانت معقودة بين المصارف الكبرى من جهة، وممثلي المصارف الصغرى من جهة ثانية، تقضي بتعديل نظام الجمعية الداخلي، لإضافة عضوين إلى مجلس إدارة الجمعية، سبق أن اتُفق ضمناً على هُوية تمثيلهما للمصارف الصغرى. ولكن المشاورات المكثفة، التي تلت جلسة “تطيير النصاب”، أعادت إحياء التسوية مجدّداً، ودُعيت مصارف لبنان إلى الاجتماع مجدّداً لإعادة انتخاب مجلس جديد لجمعيتها، وفق مندرجات التسوية عينها.

عليه، يتوقع أن يتم تعديل النظام الداخلي للجمعية في جلسة غير عادية، تعقدها الهيئة العامة قبل ساعة أو أقلّ من انعقاد الجمعية العمومية العادية، فيُرفع فيها عدد أعضاء مجلس إدارة مصارف لبنان إلى 14 عضواً، بدلاً من 12 عضواً.

وبهذا تبدأ التسوية مسارها بوصول الوزيرين السابقين مروان خير الدين ورائد خوري إلى عضوية مجلس إدارة مصارف لبنان، تحقيقاً لرغبة المصارف الصغرى في المشاركة بقرارات تتعلق بشؤون المصارف ومصيرها، التي يتوقع طرحها جدياً من الحكومة العتيدة.

وتختم التسوية طريقها بتعديل آخر يقضي بإضافة الحق بولاية ثالثة لرئاسة الجمعية، مما يتيح إعادة انتخاب رئيس الجمعية الحالي سليم صفير لولاية ثالثة إضافية، علماً بأن التعديلين المذكورين أتيا في ظروف استثنائية، ولضرورات تتعلق بوحدة الجمعية ومبدأ شمولية المشاركة في القرارات المصيرية. لذا، يقتصر سريان مفاعيل التعديلين على مرة واحدة فقط، لتعود بعدها الأمور إلى طبيعتها السابقة، وليعاد تشكيل السلطة في الجمعية بالانتخاب، ووفقاً للأطر الديموقراطية المتبعة تاريخياً فيها.

وفيما علمت “النهار” أن عدد المرشحين لعضوية مجلس إدارة الجمعية رسا على 14 مرشحاً فقط، فهذا يعني أن لا منافسة ولا انتخاب سيحصلان، ولن يكون هناك أيّ محاولة إقصاء عن المشاركة، بل إن فوز مجلس إدارة جمعية مصارف لبنان بعدده الـ 14 الجدد سيكون بالتزكية، لعلّة عدم وجود متنافسين.

يبقى أن نجاح التسوية مرهون باحترام طرفيها لجميع مندرجاتها؛ فالمعارضة من جهتها مسؤولة عن تأمين النصاب القانوني لاجتماع الهيئة العامة، لإتاحة المجال لإقرار التعديلين المتفق عليهما، فيما تبقى مسؤولية الفريق الآخر بالموافقة على التعديلين والسير بمفاعيلهما.

وتؤكّد مصادر مصرفية أن “مصارف لبنان وجمعيتها لا يملكون ترف التنابذ بين مكوّناتهم، أو شغور الرئاسة والمسؤوليات فيه، كما لن يجدي التنافس على سلطة أو كرسي لم تحمِ أو تنقذ أهل القطاع سابقاً، بل ربما المتاح الوحيد والمطلوب تحقيقه بقوة هو الاتفاق لإنقاذ ما تبقى من القطاع”.

Lebanese Banks Revive Settlement on Their Association’s Elections: Board of Directors Expanded to 14 Members with Salim Sfeir’s Third Term

The Lebanese Banking Association has revived a settlement that had previously stalled due to intense competition and disagreements among its members. The tension arose over an agreement aimed at modifying the association's internal system to increase representation, particularly for smaller banks. The initial agreement included adding two members to the Board of Directors to represent smaller banks, but this arrangement was disrupted when the quorum was not met for a session scheduled on January 8, 2025.

Following intense consultations after the failure to convene the meeting, the settlement was revived, and Lebanese banks were invited to meet again to elect a new board according to the agreed-upon terms.

Internal System Modification and Smaller Banks' Participation

The internal system of the association is expected to be modified in an extraordinary session held before the ordinary general assembly, increasing the number of members on the Board of Directors from 12 to 14. This change reflects the desire of smaller banks to have a greater say in decisions related to the banking sector, in anticipation of future challenges that might arise from the upcoming government.

Third Term for Salim Sfeir and Other Adjustments in the Settlement

In addition to the first modification, another adjustment will allow for the re-election of the current president of the association, Salim Sfeir, for a third term. This change is being made under exceptional circumstances to ensure unity within the association and to guarantee inclusive participation in critical decision-making. Although the adjustments will only be valid for this term, the aim is to ensure stability within the association during a sensitive period.

Election Process and Acclamation

According to information received by “An-Nahar,” there are only 14 candidates for the Board of Directors, which means that no competition or election will take place, and the new board members will be elected by acclamation since there are no opposing candidates. The process is expected to go smoothly, with no attempts at exclusion.

Success of the Settlement Depends on Commitment to Agreements

The success of this settlement hinges on the commitment of all parties to its terms. The opposition is responsible for ensuring the legal quorum for the general assembly meeting, while the other party must approve the amendments and proceed with their implementation. According to banking sources, Lebanese banks and their association cannot afford internal conflicts or vacant positions. The only viable and urgently needed solution is an agreement to salvage what is left of the banking sector.

Given the current circumstances, the only path forward is likely a cooperative agreement aimed at restoring stability to Lebanon's banking sector, which is facing major challenges due to the ongoing economic and financial crisis.
